ACCEPTANCE OF TERMS

Welcome to the website of Queen City Elite, LLC ("Company", "we", "us", or “our”). The following terms and conditions, together with any documents they expressly incorporate by reference, (collectively, these "Terms of Use"), govern your access to and use of (1) websites operated by us or on our behalf that reference or link to these Terms of Use, including, but not limited to, https://www.queencityelite.com/ (collectively, the “Websites”) and any content, functionality, materials and services offered on or through such websites (the "Services") and (2) social media pages managed by us that include a link to these Terms of Use, including, but not limited to, social media pages managed by us on Facebook, Twitter, Instagram, and LinkedIn (the "Social Media Pages") (collectively, the Website and Social Media Pages are referred to herein as our "Webpages").

Please read these Terms of Use carefully before you start to access any Webpage or use any Service. By using any Webpage or Service, you accept and agree to be bound and abide by these Terms of Use and our privacy policy, found at https://www.queencityelite.com/privacy-policy, incorporated herein by reference (the “Privacy Policy”). If you do not accept and agree to these Terms of Use or our Privacy Policy, you must not access or use the Webpages or any of our Services. These Terms of Use may change from time to time without advanced notice, as outlined below in the ‘Changes to These Terms of Use’ section.

Children Under the Age of Thirteen (13)

The Social Media Pages may contain message boards, chat rooms, personal web pages, profiles, forums, or bulletin boards and other interactive features (collectively, "Interactive Services") that allow users to publish or display comments, content or materials on public areas (hereinafter, "Post") of the Social Media Pages or to transmit comments, content or material to other users of the Social Media Pages and/or you may provide comments, content or materials to us or our affiliates through other means, such as electronic communications. All comments, content and materials you Post or transmit on or through the Social Media Pages and/or that you provide to us or our affiliates through other means, such as electronic communications, are collectively referred to herein as "User Contributions".

All User Contributions must comply with the “Content Standards” section set forth below in these Terms of Use.

Any User Contribution will be considered non-confidential and non-proprietary. By providing any User Contribution, you grant us, our affiliates, and our service providers, and each of their and our respective licensees, successors, and assigns, the right throughout the universe to use, reproduce, modify, perform, prepare derivative works based upon, display, distribute, and otherwise disclose to third parties any such material, in whole or in part, for any purpose in any medium, known or unknown, without consent or attribution.

You represent and warrant that:

You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us, our affiliates, and service providers, and each of their and our respective licensees, successors, and assigns.
All of your User Contributions do and will comply with these Terms of Use.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have fully responsibility for such User Contributions, including its legality, reliability, accuracy, and appropriateness.

We are not responsible, or liable to you or any third party, for any User Contributions or the content or the accuracy thereof. If you believe that any User Contributions on Social Media Pages violate your copyrights, please refer to the copyright policies, if any, provided by the website operators of the Social Media Pages.

Monitoring and Enforcement; Termination

We have the right to:

Remove or refuse to Post any User Contributions for any or no reason in our sole discretion.
Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates these Terms of Use, including the Content Standards section below, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Webpages or Services or the public, or could create liability for the Company.
Disclose your identity or other information about you to any third party who claims that material Posted by you violates their rights, including their intellectual property rights or their right to privacy.

However, we cannot undertake to review User Contributions before it is Posted and cannot ensure prompt removal of objectionable material after it has been Posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or User Contributions provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local and international laws and regulations. Without limiting the foregoing, User Contributions must not:

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licencors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licencors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use; your use of the Webpages and Services, including, but not limited to, your User Contributions; any use of any material we Post on the Social Media Pages or the Websites’ content, services and products other than as expressly authorized in these Terms of Use; or your use of any information obtained from the Websites.

Governing Law
